The content and information available on this Platform are for general informational purposes only and do not provide any personalised financial, investment or professional advice. Cadro does not provide any investment recommendations through our Platform and we are not responsible for any tax advice you may need in relation to your Account. Our Platform is intended for persons over 18 years of age only. Use of any information or content on our Platform is entirely at your own risk.

Who We Are and How to Contact Us

This Platform is owned and operated by Cadro Technologies Limited, a company registered in England and Wales, which is authorised and regulated by the Financial Conduct Authority with registration number FRN968400. All references to “we”, “us” our “our” in these Terms means Cadro.

Your Agreement to these Terms

By accessing and using our Platform, which includes both the Cadro App and the Cadro Website, you confirm that you accept the obligations set out in these Terms and that you agree to abide by them. If you do not agree to these Terms, you must not access or use our Platform. These Terms will apply for the duration of your use of our Platform.

These Terms will apply to all content and information made available on our Platform and to your general use of our Platform. These Terms do not apply to the Investment Services we provide in relation to an Account; unless you are an Authorised Viewer (in which case we do not provide Investment Services to you), the terms and conditions that apply to our Investment Services are set out in the Investment Management Agreement that was agreed when you opened an Account, a copy of which is available from your Cadro Adviser or by emailing a request to info@cadro.com.

Your Privacy and Protection of Your Data

The protection of your personal data is very important to us. We will only use any personal data we collect through your use of our Platform in accordance with our Privacy Policy and Cookie Policy. Please refer to these policies for details about how and on what basis we collect information about you, and the ways in which you and your data are protected.

Your Privacy and Protection of Your Data

You understand and agree that you will:

  • not use our Platform and/or its content in breach of these Terms;
  • not use our Platform and/or any of our content for any unlawful and/or fraudulent purposes;
  • at all times use our Platform in accordance with applicable local, national and international laws and regulations that are applicable to you;
  • be solely responsible for the accuracy, completeness and legality of any information and/or data you upload to our Platform, including without limitation your personal data; and
  • not knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, logic-bombs, or any other material that is malicious or technologically harmful;
  • only use our Platform for domestic and private use and will not use our Platform for any commercial or business purposes, unless you have a written agreement with us;
  • not access all or any part of our Platform and related information in order to build a product or service which competes in whole or part with either the Cadro Website and/or the Cadro App; and
  • not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code or underlying structure, ideas or know-how, modify, translate or create derivative works, license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise make our Platform and/or related documentation available to any third party.

We reserve the right, without liability or prejudice to our other rights, to remove any content and/or data you upload to our Platform which breaches any laws or regulations and/or third-party rights and/or which we, in our sole discretion, suspect is inappropriate and to disable your access to this Platform and/or access to any material that breaches these Terms.

You agree to defend, indemnify, and hold us harmless, including all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable legal fees and expenses, made by any third party due to or arising out of your (i) breach of these Terms; and/or (ii) your violation of the rights of a third party, including but not limited to Intellectual Property Rights. We shall provide notice to you of any such claim, suit, or proceeding that triggers this indemnification obligation, and you agree to do the same by writing to info@cadro.com. We reserve the right to assume the exclusive defence and control of any matter which is subject to indemnification under this section. In such case, you agree to cooperate with any reasonable requests assisting our defence of such matter.

Your Use of the Cadro App

Use of the Cadro App is by invitation only and requires you to download the Cadro App onto your device. When you create your profile on the Cadro App and agree to these Terms you are also confirming that you are either an Authorised Viewer who has received an invitation to use the Cadro App or that you:

  • have completed the Registration Process and have an Account with Cadro;
  • have agreed an Investment Management Agreement with us; and
  • are over the age of 18.

Your use of the Cadro App is also subject to any applicable terms and conditions and privacy policies of the app store you downloaded it from.

Your profile in the Cadro App will be closed where you provide us with written notice to close your Account and/or cease our Investment Management Services, as set out in the Investment Management Agreement, unless you are an Authorised Viewer, in which case it will be closed when you no longer have authorisation to access the Cadro App or when you provide us written notice to close your profile. We also reserve the right to end your use of the Cadro App, suspend your access to the Cadro App, refuse your registration for a profile on the Cadro App or cancel your profile on the Cadro App for any reason, including but not limited to your breach of these Terms.

Finally, you will keep a secure password for your use of the Cadro App and shall keep such password confidential and not share it with anyone.

Our Intellectual Property

All Intellectual Property Rights in any materials and content contained on this Platform, and this Platform itself, are owned by Cadro or have been licensed to us by the rights owner. Cadro grants you a limited, revocable, non-exclusive, non-sublicensable and non-transferable licence to use our Platform and to view its content in accordance with these Terms.

Except for the limited license we provide you, nothing in these Terms grants you any rights to, or in, the Intellectual Property Rights (whether registered or unregistered), or any other rights or licences in respect of our Platform, its content and related documents, which are expressly reserved by Cadro.

Your profile in the Cadro App will be closed where you provide us with written notice to close your Account and/or cease our Investment Management Services, as set out in the Investment Management Agreement, unless you are an Authorised Viewer, in which case it will be closed when you no longer have authorisation to access the Cadro App or when you provide us written notice to close your profile. We also reserve the right to end your use of the Cadro App, suspend your access to the Cadro App, refuse your registration for a profile on the Cadro App or cancel your profile on the Cadro App for any reason, including but not limited to your breach of these Terms.

Disclaimers and Liability

We provide our Platform on an “as is” basis and whilst we use our best commercial efforts to ensure that all content and information is accurate, complete and up-to-date, we do not provide any warranties or guarantees in this regard and we will not have any liability to you for your use of it. Cadro expressly disclaims all representations and warranties (whether express or implied), in connection with this Platform, including but not limited to the warranties of merchantability, completeness, fitness for a particular purpose.

Cadro does not warrant that this Platform or its content will be operational, uninterrupted and/or available at all times, nor that it will be error-free, secure or safe. You acknowledge and accept that Cadro may need to suspend, withdraw or restrict access to this Platform for maintenance, updates and other operational reasons. While we take reasonable precautions to prevent computer viruses and other malicious programs on our Platform, you agree we have no liability for them.

Any limit or disclaimer of liability in these terms limits or disclaims liability in contract, for negligence, breach of implied terms, or arising on any other basis. Cadro cannot accept any liability for any financial loss resulting from you not having complied with these Terms, or failure by you to take reasonable security precautions.

We do not exclude or limit in any way our liability to any user of this Platform where it would be unlawful to do so. Nothing in these terms shall exclude or limit liability for: a) death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; b) fraud or fraudulent misrepresentation; or c) any duty which we may have under the Financial Services and Markets Act 2000 or the rules of the Financial Conduct Authority.

Cadro will not have any liability for:

  • losses which arise from any event beyond our reasonable control;
  • any losses which could not reasonably have been anticipated;
  • loss and/or damage resulting from reliance on the information and/or content presented on our Platform;
  • loss and/or damage resulting from the closure of your profile on the Cadro App in accordance with these Terms;
  • loss and/or damage resulting from unavailability of our Platform for any reason or your inability to use and/or access our Platform;
  • loss of profit, loss of business, loss of revenue, loss of business opportunity, business opportunity, or any special, indirect or consequential loss or damages;
  • any financial loss resulting from your use of this Platform, including but not limited to reliance on any content and/or your inability to use this Platform.

Definitions

Account: the account that you create with Cadro through the Registration Process through which we provide the Investment Services.

Authorised Viewer: an individual who does not have an Account, but who has been given authorisation by Cadro and the holder of the Account, to use the Cadro App as a viewer.

Cadro: Cadro Technologies Limited, a company registered in England and Wales with registration number 11797448 and with its registered office at Berkeley Square House, Berkeley Square, London, W1J 6BD, and authorised and regulated by the Financial Conduct Authority with registration number FRN968400.

Cadro Adviser: your contact point for the Investment Services, whose details are set out in your profile on this App.

Cadro App: means the mobile application owned by Cadro.

Cadro Website: means the website owned by Cadro available at Insert website name

Intellectual Property Rights: including without limitation, rights in patents, trademarks, service marks, trade names, other trade-identifying symbols and inventions, copyrights, design rights, database rights, rights in know-how, trade secrets and any other intellectual property rights arising anywhere in the world, whether registered or unregistered, and including applications for the grant of any such rights.

Investment Services: the wealth management and investment services that are provided by Cadro in relation to your Account and are governed by the terms and conditions of your Investment Management Agreement.

Registration Process: the onboarding that you completed to set up your Account, which included completing an account opening form, a tax self-certification form, agreeing to an Investment Management Agreement and receiving your Investment Policy Statement.

Platform: means both the Cadro App and/or the Cadro Website.

Terms: these terms and conditions that apply to your use of our Platform, which you agree to by creating your profile on the Cadro App and/or by using our Platform.
